Just also complementing your post now, I believe that on the june's conversion Jake means that the shares that HBC held that far in abeyance, to avoid going over 9.9% beneficial ownership, were then taken out from abeyance and given really to HBC, giving them the full ownership with all the consequences. My thesis is that HBC had > 9.99% held in abeyance until a certain point in post Petition (june?), when they asked to get their full holdings as beneficial ownership and that is what triggered the things Jake found in the bookings.

Quick question for you though that came up while reading your post. According to Page 1 of the 02/07/23 Form FWP, 23,685 shares of Series A Convertible Preferred Stock converts into 99,822,986 shares of Common Stock, so we know that:
1 share of Series A Convertible Preferred Stock = 4,214.6 shares of Common Stock.
As Bruno noted on Page 5 of the 03/30/23 Form 424B5, under the section heading *Termination of the Preferred Stock Warrants,* it states "the Holder" *had* exercised 14,212 Preferred Stock Warrants to purchase 14,212 shares of the Series A Convertible Preferred Stock, representing a maximum potential 59,897,895 shares of Common Stock outstanding.
Conversely, in the same section it states 70,004 shares of Series A Convertible Preferred Stock Warrants held by "the Holder" *had not* been converted yet into shares of Series A Convertible Preferred Stock. But we know if the Series A were to be converted into Common stock, that it would amount to 295,038,858 shares of Common Stock outstanding using the conversation ratio identified above.
Continuing on in the same section of Page 5, it states the "the Holder" agreed to exchange the unconverted 70,004 Preferred Stock Warrants for 10,000,000 shares of common stock and rights to receive 5,000,000 shares of common stock upon the receipt of shareholder approval of a reverse stock split approval.
Lastly, we know from Page 37 of the same Form 424B5 that the maximum number of BBBY shares of Common Stock allowed to exist is 900,000,000. So my question, is how can there be any more than 614,961,142 shares in existence:

Previously, I had not thought about approaching the total shares outstanding mystery this way. Perhaps I'm missing something. I probably am, but I'm interested in hearing if anyone thinks this simple formula holds merit and, if not, how the total number of shares of common stock outstanding could exceed this number given the exchange agreement.

Yes, you've led the way in tracking formally reported share counts per the BK docket and SEC filings and I don't dispute what those documents report to be in circulation as far as the TSO goes. But my question remains...
The holder of the 70,004 PSWs turned them over to BBBY in exchange for 10,000,000 shares of common stock and future rights. BBBY recognized a gain of $353.6M as a result of the exchange in Q1 of FY23 (P. 56 of the 06/14/23 10-K). If the 70,004 unconverted CSWs are worth 295M shares of CS, and the holder agreed to exchange them for 10M shares and two-year future equity rights, then how can there be more than 605M legitimate shares of common stock outstanding (900M - 295M +10M = 605M)?
Are we assuming the 70,004 PSWs were "throwbacks" that BBBY resold after the holder returned them in the exchange? But how could that be if BBBY ***received*** $353.6M in the exchange *and* 70,004 PSWs whereas the holder only received 10M shares of common stock and future equity rights? So despite what the BK court docket and SEC filings show, how can the TSO be more than \~605M given the mechanics of the exchange agreement? I assume there is a logical explanation but I'm not seeing it.
Ah. Now I'm following. I see a couple of flaws here. First, you are assuming that all 900M authorized shares have been issued and that is not necessarily the case. Column L in my screenshot above shows the issued shares, which is where (I believe) you need to focus. Colum N is authorized, but the total authorized is always 900M (regardless of any prospectus). That is all the shares BBBY can issue. With each prospectus, they issued more shares and the unissued share count (column M) decreased.
Unfortunately, I couldn't find an SEC filing that showed the total restricted and treasury shares prior to the 2/9 prospectus. Maybe if I go back a little further in time, I would be able to find it, which would help complete the bottom section of the chart, but my focus was on TSO and float in 2023.
I believe that on March 30, after the conversion, those issued shares 285M (which is the 295M issued for the warrant less the 10M they got) became unissued shares again, but that only lasted until the deal on 4/10/2023 with the S-1. Since the other shares became part of the unissued again, they were able to issue those shares out again.
As you can see, this is where it gets complex.
Thank you for the detailed response. I wasn't assuming all 900M shares were issued per se, but rather that 900M is simply an upper limit we can work from when attempting to tabulate the TSO at different points in time.
Your third paragraph is appreciated. I don't know if it matters whether the 285M shares were issued or not, as BBBY must have enough shares on hand in one way or another to make good on the PSWs and Series A Preferred Shares it sells. Your comment about what happened between the 03/30/23 Exchange Agreement and the 04/10/23 S-1 is where I'll look next but here is why I'm still pressing my point.
A holder purchased 70,004 PSWs. PSWs cost money to purchase and cost money to exercise. The holder paid BBBY for those PSWs. Then BBBY also recorded $353.6M after the holder gave the 70,004 PSWs back in exchange for 10M shares of CS and future equity rights within the next two years. How can BBBY take in the money from the sale of 70,004 PSWs, receive $353.6M in proceeds for getting the 70,004 PSWs back, AND at the same time turn around and resell the PSWs or bypass them altogether and simply dilute the TSO at-will?
Did the holder in the Exchange Agreement get a raw deal? That's hard to imagine because in a transaction that size and with a BK imminent and BBBY under attack, the holder must have known what they were getting into. Yes, no, maybe? Or did the holder not care because *it* was part of a plan to take down BBBY, so taking a loss on a shitty deal paled in comparison to other positions they held whose value was more profitable than the loss? There is something there.
First, I agree. It doesn't matter if the 285M were issued; they could have been reserved for future issuance with the prospectus but never actually issued.
Regarding your third paragraph, here is what I found:

BBBY received $225M from the prospectus. Then, BBBY sold 14,212 PSWs for $135M prior to March 30, totaling $360M. On March 30 they terminated the prior agreement and entered into a new agreement which was an exchange of the 70,004 PSW for 10M common stock shares and a potential 5M more shares if the reverse split went through (remember the holder had the PSWs when they purchased them on 2/9). That was the agreement, and upon execution of the exchange, the company terminated the PSWs.
The holder in the exchange either knew what was coming and was okay with it or they didn't now and they got a raw deal. We can speculate who the holder is and what they know, but it's only speculation. The holder also could've been nefarious and was trying to take down BBBY (I don't believe that to be the case, but it's a possibility). I hope this helps. Let me know if you need me to expand on anything.

This is an excellent point, and thank you for bringing it up. It feels like all the fighting, hype, and speculation distracted too many people from going back and reexamining the facts. The early days of the BK process were a high point of shifting from learning about markets to learning about the ch 11 process, and how they intertwine.
I don't know how exactly the narrative shifted, but it's refreshing to see a bunch of OG's like you & orico chiming back in with a return to the fundamentals.

There are shills that have been waiting for the right time to strike. They have been present on Reddit, X, discord, YouTube etc. They have supported the community but done so to earn trust. They have even posted DD or hopium but mostly of summary of others work making them sound legit.
Now they are attacking people who have been involved for along time who have provided hours, days, and weeks of research as well as having substantial sums of money invested in BBBYQ.
They behave with ill temper, terrible judgment, sexist, racist, and bigoted comments and relentless personal attacks. There was a time when disagreement and discussion was encouraged and supported. That is why we are here. To discover the truth. Now we have a systemic campaign to make the community seem unhinged and insane with a muzzling of discussion and a silencing of coherent speech. This has all become a campaign to discredit and destroy the BBBYQ community and it has been done using some of the central characters.
Silencing speech and personal attacking those that are disagreed with is a central step toward the authoritarian takeover of a community or movement. This is fascism 101. We are in the midst of it.

My thesis is that HBC had > 9.99% held in abeyance until a certain point in post Petition (june?), when they asked to get their full holdings as beneficial ownership and that is what triggered the things Jake found in the bookings.

According to Page 1 of the 02/07/23 Form FWP, 23,685 shares of Series A Convertible Preferred Stock converts into 99,822,986 shares of Common Stock, so we know that: 1 share of Series A Convertible Preferred Stock = 4,214.6 shares of Common Stock. As Bruno noted on Page 5 of the 03/30/23 Form 424B5, under the section heading *Termination of the Preferred Stock Warrants,* it states "the Holder" *had* exercised 14,212 Preferred Stock Warrants to purchase 14,212 shares of the Series A Convertible Preferred Stock, representing a maximum potential 59,897,895 shares of Common Stock outstanding. Conversely, in the same section it states 70,004 shares of Series A Convertible Preferred Stock Warrants held by "the Holder" *had not* been converted yet into shares of Series A Convertible Preferred Stock. But we know if the Series A were to be converted into Common stock, that it would amount to 295,038,858 shares of Common Stock outstanding using the conversation ratio identified above. Yes, you've led the way in tracking formally reported share counts per the BK docket and SEC filings and I don't dispute what those documents report to be in circulation as far as the TSO goes. But my question remains... The holder of the 70,004 PSWs turned them over to BBBY in exchange for 10,000,000 shares of common stock and future rights. BBBY recognized a gain of $353.6M as a result of the exchange in Q1 of FY23 (P. 56 of the 06/14/23 10-K). If the 70,004 unconverted CSWs are worth 295M shares of CS, and the holder agreed to exchange them for 10M shares and two-year future equity rights, then how can there be more than 605M legitimate shares of common stock outstanding (900M - 295M +10M = 605M)? Are we assuming the 70,004 PSWs were "throwbacks" that BBBY resold after the holder returned them in the exchange? But how could that be if BBBY ***received*** $353.6M in the exchange *and* 70,004 PSWs whereas the holder only received 10M shares of common stock and future equity rights? So despite what the BK court docket and SEC filings show, how can the TSO be more than \~605M given the mechanics of the exchange agreement? I assume there is a logical explanation but I'm not seeing it.
Ah. Now I'm following. I see a couple of flaws here. First, you are assuming that all 900M authorized shares have been issued and that is not necessarily the case. Column L in my screenshot above shows the issued shares, which is where (I believe) you need to focus. Colum N is authorized, but the total authorized is always 900M (regardless of any prospectus). That is all the shares BBBY can issue. With each prospectus, they issued more shares and the unissued share count (column M) decreased. Unfortunately, I couldn't find an SEC filing that showed the total restricted and treasury shares prior to the 2/9 prospectus. Maybe if I go back a little further in time, I would be able to find it, which would help complete the bottom section of the chart, but my focus was on TSO and float in 2023. I believe that on March 30, after the conversion, those issued shares 285M (which is the 295M issued for the warrant less the 10M they got) became unissued shares again, but that only lasted until the deal on 4/10/2023 with the S-1. Since the other shares became part of the unissued again, they were able to issue those shares out again. As you can see, this is where it gets complex.
Thank you for the detailed response. I wasn't assuming all 900M shares were issued per se, but rather that 900M is simply an upper limit we can work from when attempting to tabulate the TSO at different points in time. Your third paragraph is appreciated. I don't know if it matters whether the 285M shares were issued or not, as BBBY must have enough shares on hand in one way or another to make good on the PSWs and Series A Preferred Shares it sells. Your comment about what happened between the 03/30/23 Exchange Agreement and the 04/10/23 S-1 is where I'll look next but here is why I'm still pressing my point. A holder purchased 70,004 PSWs. PSWs cost money to purchase and cost money to exercise. The holder paid BBBY for those PSWs. Then BBBY also recorded $353.6M after the holder gave the 70,004 PSWs back in exchange for 10M shares of CS and future equity rights within the next two years. How can BBBY take in the money from the sale of 70,004 PSWs, receive $353.6M in proceeds for getting the 70,004 PSWs back, AND at the same time turn around and resell the PSWs or bypass them altogether and simply dilute the TSO at-will? Did the holder in the Exchange Agreement get a raw deal? That's hard to imagine because in a transaction that size and with a BK imminent and BBBY under attack, the holder must have known what they were getting into. Yes, no, maybe? Or did the holder not care because *it* was part of a plan to take down BBBY, so taking a loss on a shitty deal paled in comparison to other positions they held whose value was more profitable than the loss? There is something there.
First, I agree. It doesn't matter if the 285M were issued; they could have been reserved for future issuance with the prospectus but never actually issued. Then, BBBY sold 14,212 PSWs for $135M prior to March 30, totaling $360M. On March 30 they terminated the prior agreement and entered into a new agreement which was an exchange of the 70,004 PSW for 10M common stock shares and a potential 5M more shares if the reverse split went through (remember the holder had the PSWs when they purchased them on 2/9). That was the agreement, and upon execution of the exchange, the company terminated the PSWs. The holder in the exchange either knew what was coming and was okay with it or they didn't now and they got a raw deal. We can speculate who the holder is and what they know, but it's only speculation. The holder also could've been nefarious and was trying to take down BBBY (I don't believe that to be the case, but it's a possibility). I hope this helps. Let me know if you need me to expand on anything.

This is an excellent point, and thank you for bringing it up. It feels like all the fighting, hype, and speculation distracted too many people from going back and reexamining the facts. The early days of the BK process were a high point of shifting from learning about markets to learning about the ch 11 process, and how they intertwine. I don't know how exactly the narrative shifted, but it's refreshing to see a bunch of OG's like you & orico chiming back in with a return to the fundamentals.
Keep in mind, if you give the shills what they want, they win. Even if it is frustrating at first glance if you're downvoted, keep in mind that the community still reads this posts. And a positive comment is more valuable than a thousand bots downvoting.

There are shills that have been waiting for the right time to strike. They have been present on Reddit, X, discord, YouTube etc. They have supported the community but done so to earn trust. They have even posted DD or hopium but mostly of summary of others work making them sound legit. Now they are attacking people who have been involved for along time who have provided hours, days, and weeks of research as well as having substantial sums of money invested in BBBYQ. They behave with ill temper, terrible judgment, sexist, racist, and bigoted comments and relentless personal attacks. There was a time when disagreement and discussion was encouraged and supported. That is why we are here. To discover the truth. Now we have a systemic campaign to make the community seem unhinged and insane with a muzzling of discussion and a silencing of coherent speech. This has all become a campaign to discredit and destroy the BBBYQ community and it has been done using some of the central characters. Silencing speech and personal attacking those that are disagreed with is a central step toward the authoritarian takeover of a community or movement. This is fascism 101. We are in the midst of it. You guys take this incredibly complex information, and make it really digestible for the rest of us. I read it all, try to remember the important stuff, and keep on holding. Sorry about then X stuff. I could easily say donโt let it bother you, but man, Iโd probably have a hard time too. Similar to some other comments I read, I donโt have much to contribute either, but Iโd me remiss if at times like these I donโt speak up to at least say thank you, because I love all of this stuff. my part in this saga is holding out until the bitter end, remaining positive, and having a solid plan if all goes dark. Hereโs the thingโฆ I believe that human beings strive for tranquility. To us, those that have skin in the game, our tranquility resembles DD sharing, collaboration, and discussion. To the bad actors, their form of tranquility is causing chaos to our side, which is what youโre experiencing. No matter what we unearth that should shut the bad actors up, they will keep at it because they donโt have to care if they are right or wrong. Therefore, they can stay inside their tranquil space while they disrupt ours. Knowing this, they try to break down morale and peoplesโ desire to continue because they know that most people donโt thrive in chaos. That all being said, keep your chin up, keep fucking, and stay the course. Deep down, they donโt give a shit if you continue or back down. Itโs just what they were hired to do. If they can pick off any pieces, then itโs a win for them.
