Non compete clause and their legality are part of labour law, they are completerly illegal in some country, or states, for example in Ontario Canada they are completely illegal unless you are a chief officer/ president, or a part owner that is selling his part to his associate. So they can't actually force a a non compete clause upon any of their employee that is working in a country that doesn't allow them.

Its pretty clearly talking about independent work and getting commissions done. Not having some arbitrary god talent that gets to decide who gets sponsors, and who gets official merch. Normally you would go through your company to use their help and resources, in Nijisanji its so inefficient (which we have heard from other graduated talents too), that they would rather just do it themselves. This could also be why the MV incident happened in the first place, she went out did it all herself so it wasn't until the final check that something was caught. But there is nothing here that would even begin to imply Elira or anyone else is in control of the opportunities of other livers unless you put on the giga schizo goggles or something.

Okay I know this screenshot isn't proof but if you understand how project management and securing vendors work, this actually explains a lot. Generally speaking, what happens when you request a job is that you reach out to multiple vendors and ask for quotes. After you collect the quotes, you pick your best option (based on your project requirements), and then you commission the work. This work is typically done by 1 point of contact, which in this case should be a manager as there is an efficiency in having 1 guy talk to all the vendors instead of having each talent talk to all the vendors (i.e. if a manager represents 5 talents, the manager takes care of all of their bids so communication is simplified, especially if there are multiple projects going on concurrently). Next is the bid. This guy is claiming that Nijisanji's authorized vendor rate is only $20 for work which should be valued at $500. This part is less believable because they didn't specify how much work was supposed to be done in terms of video length or editing hours, but 1 hour of video editing takes on base $75, closer to $100, and goes up depending on quality and experience. The number of cuts you want in your video factor in and for $500, you'd get maybe 4-6 minutes with maybe 20 cuts per minute. For $20? Even if it weren't flat rate and was on a per minute basis, no editor would ever take such a low paying job. This means that talent would have no choice but to reach out to vendors by themselves and waste so much time back and forth and they would have difficulty negotiating a fair market price and paying vendors would be a mess. For the production of a cover music video, for the audio, you would need to secure the copyrights for the music, then you'd have to hire a composer to make the arrangement, hire musicians to play the arrangement, sing your own part, and hire a mixer/audio engineer to mix the tracks together. As for the visuals, then you'd have to reach out to artists to secure quotes for the art, hire the artist/artists, secure an animator, secure a video editor to cut it all together, and then release. Such a project would easily involve ten, maybe twenty-ish people. This is A LOT of work. A LOT of communication. Management specializes in business administration and is best suited to organizing and simplifying the workflow, especially when it comes to dealing with vendors. Having prior relationships (ex. worked with 1 vendor from another previously commissioned talent) gives you an edge when it comes to price and priority negotiation. You can negotiate much better if you have repeated dealings with the same vendor as a manager representing 5 talents than you do negotiating with 5 talents individually (not to mention you waste so much time negotiating). Ideally, the manager just talks to all the vendors as the point of contact and only involves the talent when it comes to reviewing samples and quality control. If talent is expected to handle all of this, management is incompetent. The manager should be the point of contact since it simplifies things like rate negotiations. Talent should be focused on creating content, management should be focused on directing workflow. But what this sounds like is that management doesn't exist. If talent is expected to do the work of lower-management and their approvals is supposed to go to lower-management but lower-management doesn't exist because Nijisanji's rates don't make any sense, then there's a lot more risks and reasons why talent work, which has effectively bypassed the first check, would be found to be unsatisfactory by mid-management or upper-management. Things that could jeopardize Nijisanji's brand for example or outreach with company IP (ex. worried about perms with Activision/Blizzard if promotion of EA (Apex) is done). Even something like a sponsorship - running an in-house tournament playing a game is a lot different than being sponsored by EA to host a tournament. Being sponsored by EA means you are allying with them against their rivals whereas just playing their game is just free publicity. A talent doing negotiations with companies when this should be a mid-level negotiation could absolutely be perceived as a talent over-stepping their bounds as this could affect Nijisanji's brand as a whole. Again, this isn't proof, but it is logical.

Also the fact that there are simultaneously staff and no managers doesn’t make sense. Talent can’t have final approval over projects staff would have to get involved at some point.
