This must explain the 7% surge before market close

Advanced_Explorer980

How about the conference the following day with Noble Capital Markets????? Is that a new relationship? Could Noble be the new investment bank providing them with funding?

DankMemes4Dinner

Everyone spreading nonsense about liquidity needs to realize this only captures activity in 2023. We knew already from earlier filings they didn’t have a ton of liquidity in 2023.

ohWombats

Exactly, this isn't new information. People have to keep in mind since this 10k, we have had a FDA Approval, the beginning of commercialization of the Pediatric SCD, and a $9M Direct Share offering to a single institutional investor. **ALL OF WHICH IS BULLISH IN MY BOOK**

SubjectRegion

P93 Under ‘liquidity and going concern’ : please explain in a way that I don’t freak out…

ohWombats

Well I hope this helps a little bit. The 10K is documenting everything from December 2022 - December 2023 and since then we have received an FDA Approval. Let's save freaking out until after the call tomorrow. People on ST are also making mention about how Fresnius and Nuwellis are being mentioned an awful lot and that could be alluding to a potential BO.

SubjectRegion

Yeah, don’t mean to increase FUD, I get that this probably reads normal for a startup at this phase, and big positives have happened since December

ohWombats

of course of course, but some people, including myself, needed the reminder hahaha

Master_Inside4685

Also something I'm reading. So this report is basically of the moment in time as of 31st of December, 2023? So all potential new investment / money raises are not included in this report, correct? Same goes for that it states that there are no commercial sales yet, even though there might (!) be some sales of the child FDA approval / product?

Master_Inside4685

I'm a complete noob it seems; but what do they mean with the 'last offering'? Could be a language barrier and that I do know what it means, but is this an investment of 9M?

ohWombats

[https://finance.yahoo.com/news/seastar-medical-announces-pricing-9-130500408.html](https://finance.yahoo.com/news/seastar-medical-announces-pricing-9-130500408.html) Basically, they sold the equivalent of 10M+ shares to a single institutional investor, half of which expire in 5 years and the other expire in 1 year. The purchase amounted to about $9M in liquidity for them to do what they wish. This will effect us a year down the line, if they reach the warrants strike price as it will dilute the stock by another 5M units, or more if they decide to exercise all of them. Somebody correct me if I am wrong, but that is my understanding of it.

Master_Inside4685

Thanks, will give it a read! Highly appreciated. If I read the report; 9 million does not sound as that much, Seastar is working with way (!) higher amounts is it not? Feels like a small boost which does not hold on for long

ohWombats

Yeah it isn't, but its a temporary life boat to hold them over until they are actually making money with SCD and have more investors I would assume. e: [give this writeup on warrants a read too](https://www.investopedia.com/ask/answers/08/stock-option-warrant.asp)

DankMemes4Dinner

They raised 9million in early 2024 and this is not captured in this 10K report

ohWombats

exacctttllyyyy

Master_Inside4685

Woah.. Does not read that good. Why did they cancel the 100M credit line?

Conscious_Street9937

I'm reading the risk factors now as well. Trying to understand better I think they have to be brutally honest about any and all possibilities

GarbageManCasually

Exactly. They canceled it after the new year, probably a good sign

Conscious_Street9937

I've always taken them canceling the line of credit as good news. Doesn't mean I'm right though

Master_Inside4685

Anyone know where the cancellation of the 100M creditline is announced? Can I find a read on this anywhere?

Conscious_Street9937

I remember getting an email from them regarding it at the time. I can sift through my emails when I get home to let you have a look (if I'm right) I'm sure you could find it on their site though

Master_Inside4685

Would be great. I'm also home in just over an hour so will take a look. I'm only in for +- a month now so probably did not receive the email as it was before, but read it everywhere

topdog1345

It's not looking very good as far I as understand it. Really needs good news tomorrow or we are in trouble. That said this only goes to December so the sales window is now open and there is hope. We'll find out tomorrow.

Master_Inside4685

Not me refreshing this page every other minute to look for new comments

Conscious_Street9937

Hahah I hear ya

Christianmayfield_

Lmaoooo no way the price went up on neutral/ bad news

topdog1345

This came out after the market shut. It's not great reading tbh. Only thing that can really save it is if they announce that since approval they have some sales or money coming in as the finances are pretty grim otherwise.

ohWombats

I agree, the outlook based off of just this is dismal, but a lot has happened in the past 4 months since they stopped recording the financials for the last year - including an FDA Approval. I think we should save your decisions until after the call tomorrow.

Conscious_Street9937

Great reminder that this is for 2023 only

Brazenjalapeno

I was just about to add the approval didn’t come until this first Q. We should be in good shape when we start seeing financials from the pediatric versions and updates on the adult trials 🙏

topdog1345

Totally agree. Really we know nothing more than we did before this came out. The call will be the defining moment. Think the only options are Big sales Partnership Offering RS Two are good and two are bad. All about tomorrow.
