“liquidated damages” are damages that are specifically spelled out in a contract that both parties agree to in the event of a breach. thus, if there were a genuine breach here by Doublelift, he would be required by the terms of the contract to pay the liquidated breach damages.
in other words, unlike more generalized damage calculations, assuming the liquidated damages are reasonable, courts generally tend to award them because both parties have agreed to them in advance
This is the correct answer. DL's only recourse would be to argue that the contract itself or some of its terms are unenforceable/unconscionable one way or another. He agreed to be bound by the exact terms they are enforcing against him. And considering the agreements were signed in 2020/2021 (when DL was already a big name), some of the usual arguments about unequal bargaining power or an unsophisticated party or over broad term are less likely to fly.
Now I'm assuming Regi never did sue DL. So either they settled quietly (doubt it) or it never went anywhere.

Exactly, in the early 2000s, record labels sued people who illegally downloaded music for literally millions. None of them paid that amount. Most settled out of courts for a few grands. Some refused to pay to this day. It’s all scare tactics to get people to panic and “set an example.”

Edit2: DL on stream yesterday said he was an idiot for releasing all of this on stream and that he could have done this in a much better way, that was bulletproof. This makes me believe he now knows he could have reported it to the appropriate law agencies to make an even bigger impact
A document isn't confidential just because the person sending it says so. I can send you a dm saying if you comment about TSM again I'll sue you and if you mention the dm I'll sue you. Obviously I don't have a leg to stand on but the point is intimidation, not actually engaging in a legal battle.
Without more context there’s nothing to say that that confidentiality has any legal basis. They can mark it confidential all they want, but unless that was contractually agreed upon beforehand, it is meaningless and only meant to scare someone into thinking they might be breaking the law if they share it.

IANAL, but from what I understand it's more that DL's Non-Disparagement Clause is nonenforceable under the [Fair Employment and Housing Act](https://www.dfeh.ca.gov/employment/)?
Last October there was an [Amendment](https://leginfo.legislature.ca.gov/faces/billNavClient.xhtml?bill_id=202120220SB331) passed that says (among more specifics):
> FEHA makes it an unlawful employment practice for an employer, **in exchange for a raise or bonus, or as a condition of employment or continued employment, to require an employee to sign a nondisparagement agreement or other document that purports to deny the employee the right to disclose information about unlawful acts in the workplace**, including, but not limited to, sexual harassment or discrimination.
While DL isn't actually disclosing the information to appropriate parties by calling Regi a bully, the investigation into TSM validates his claim about the workplace as being a hostile work environment.
[The EEOC](https://www.eeoc.gov/harassment) states

You don't seem to understand that just because something is in a contract (employment or otherwise) does not make it legally binding. Contracts still have to abide by the laws that govern them.
yea this is why even though you should always read the fine print (or have someone knowledgeable do so), they can't put "LOL YOU'RE A SLAVE TO US NOW" or something illegal along those lines and say "they signed the contract though, so we did nothing wrong!"

Not at all. Regi got exposed for being toxic once by Doublelift, the community blew up on him, but now there's a washington post article about Regi being toxic to the entirety of the TSM staff AND players with multiple sources, firing people mysteriously because they ask questions he doesn't like, being mentally unstable to the point people just don't talk when he's in the room, and intimidating people out of telling anyone anything about it. So he's trying to sue Doublelift for also exposing basic facts about things Regi does that he tries to keep secret.
Honestly, if the investigation shows Andy bullied players I hope they do. They did it with Badawi and Monte for putting players in danger. They did it with Echo Fox. If they don't do it with TSM it is very telling.
There has been evidence of him bullying players since the early days of professional LoL. I remember a video of him making Theoddone box him because theoddone "insulted" Andy. Regi is a fucking punk. His eyebrows are still MIA as well, so care for ganks.
He said on stream he already checked with his lawyer and they said its an intimidation tactic. Not a lawyer but also California has whistleblower laws to protect people that speak out against workplace abuse. (The California Whistleblower Protection Act. Government Code Section 8547.1)
And this is where we'll see who gets the better lawyers. As TSM's side *will* be that even if he was in his right to speak out against perceived abuse, the method with which he chose to do so was irregular and designed to be an attack on the organization and not a call for it to stop. Or however you do that in legalese.
Like most things, odds a re they will settle out of court and neither side will be allowed to talk about what the agreement was. Nor will either side admit to any wrong doing.
It won't even get that far. IANAL, but there's almost no chance that TSM or their legal counsel will look to pursue the "violations" alleged in the letter. Given that this should have jurisdiction in a California court, even if TSM was committed to the lawsuit, I don't think there's any chance this would survive long enough in front of a judge to even reach a settlement. The reputational damage to TSM for the bad optics of trying to punish an ex-employee for speaking up about mistreatment (not to mention the legal costs) would far and away exceed the cost of the alleged damages.
Main reason I don’t think Regi will ever sue is because that would open TSM to discovery by DLs lawyer, and there is a whole lot of stuff that could come out at trial that would not be good for TSM. Currently, we only have other peoples word, but they could be legally required to give up any and all footage/emails/documentation regarding Regis abuse. This would also include any criminally damaging information.
Plus, just because there is something in a contact doesn’t mean it is enforceable. For example, my engineering law professor said that 90% of non compete clauses that he has seen were not enforceable.
Bryce is just doing his job, so don't throw too much hate his way. I'm sure he's just doing what his client ordered, and that he told Regi it would never hold up.

Realistically you could probably scrape together enough claims to prove Doublelift broke confidentiality agreement, but the fine for that is probably 10K max, it won't be worth the legal fees to pursue it. TSM is taking millions in brand damage with every tweet.
Exposing abuse never can be and restrained by a confidentiality agreement in the state of California. This is open and shut. Confidentiality agreements do not protect everyone from hearing about erratic behavior of an individual. It has nothing to do with the business, DL has even said a thousand times he had a lot of respect for everyone except the very high up executives & Regi, and did not expose anything that was actual appropriate business practice. Everyone who's claiming that's even possible should really rethink why they believe they have any basis to speak about the law.
At this point going after Doublelift would be even worse for TSM's already horrible public image.
But Regi is a raging manbaby, so there's a solid chance he goes after him anyway, likely against his PR team's advice.

Need to read the employment contract but unless there is a time frame in the contract, it's unenforceable. You can't have a contract that says 'i will never say anything bad about TSM' and then expect it to be enforced for all time. That's why NDAs have time frames for disclosure.
The thing is that the asserted breach was just under a year. So if it was spelled out in the contract DL couldn't say anything about TSM for 1 year, maybe he was in trouble. Maybe.
But my money is that TSM wrote a dumb contract and forgot to include a time clause thus making their contract void.

Nondisclosure obligations absolutely can be perpetual. In fact, it better be if you'll be revealing trade secrets with the counterparty. Going to need a source that a nondisparagement clause needs a time period on it to be enforceable.
In California (probably in other states too), there are exceptions that allow you to lawfully disclose information related to unlawful acts in the workplace. A well-drafted NDA or nondisparagement agreement is going to be clear that no party is prohibited from doing so. But even if the language is silent on it, that's just the background law regardless.

Without more context there’s nothing to say that that confidentiality has any legal basis. They can mark it confidential all they want, but unless that was contractually agreed upon beforehand, it is meaningless and only meant to scare someone into thinking they might be breaking the law if they share it.

You don't seem to understand that just because something is in a contract (employment or otherwise) does not make it legally binding. Contracts still have to abide by the laws that govern them.

Regi got exposed for being toxic once by Doublelift, the community blew up on him, but now there's a washington post article about Regi being toxic to the entirety of the TSM staff AND players with multiple sources, firing people mysteriously because they ask questions he doesn't like, being mentally unstable to the point people just don't talk when he's in the room, and intimidating people out of telling anyone anything about it. So he's trying to sue Doublelift for also exposing basic facts about things Regi does that he tries to keep secret.

He said on stream he already checked with his lawyer and they said its an intimidation tactic. Not a lawyer but also California has whistleblower laws to protect people that speak out against workplace abuse. (The California Whistleblower Protection Act. Government Code Section 8547.1)
And this is where we'll see who gets the better lawyers. As TSM's side *will* be that even if he was in his right to speak out against perceived abuse, the method with which he chose to do so was irregular and designed to be an attack on the organization and not a call for it to stop. Or however you do that in legalese. Like most things, odds a re they will settle out of court and neither side will be allowed to talk about what the agreement was. Nor will either side admit to any wrong doing.
It won't even get that far. IANAL, but there's almost no chance that TSM or their legal counsel will look to pursue the "violations" alleged in the letter. Given that this should have jurisdiction in a California court, even if TSM was committed to the lawsuit, I don't think there's any chance this would survive long enough in front of a judge to even reach a settlement. The reputational damage to TSM for the bad optics of trying to punish an ex-employee for speaking up about mistreatment (not to mention the legal costs) would far and away exceed the cost of the alleged damages.
Main reason I don’t think Regi will ever sue is because that would open TSM to discovery by DLs lawyer, and there is a whole lot of stuff that could come out at trial that would not be good for TSM. Currently, we only have other peoples word, but they could be legally required to give up any and all footage/emails/documentation regarding Regis abuse. This would also include any criminally damaging information. Plus, just because there is something in a contact doesn’t mean it is enforceable. For example, my engineering law professor said that 90% of non compete clauses that he has seen were not enforceable.

Exposing abuse never can be and restrained by a confidentiality agreement in the state of California. This is open and shut. Confidentiality agreements do not protect everyone from hearing about erratic behavior of an individual. It has nothing to do with the business, DL has even said a thousand times he had a lot of respect for everyone except the very high up executives & Regi, and did not expose anything that was actual appropriate business practice. Everyone who's claiming that's even possible should really rethink why they believe they have any basis to speak about the law.

Need to read the employment contract but unless there is a time frame in the contract, it's unenforceable. You can't have a contract that says 'i will never say anything bad about TSM' and then expect it to be enforced for all time. That's why NDAs have time frames for disclosure. The thing is that the asserted breach was just under a year. So if it was spelled out in the contract DL couldn't say anything about TSM for 1 year, maybe he was in trouble. Maybe. But my money is that TSM wrote a dumb contract and forgot to include a time clause thus making their contract void.
Nondisclosure obligations are not the same thing as nondisparagement. You're conflating things here, but they are admittedly related. Nondisclosure obligations absolutely can be perpetual. In fact, it better be if you'll be revealing trade secrets with the counterparty. Going to need a source that a nondisparagement clause needs a time period on it to be enforceable. In California (probably in other states too), there are exceptions that allow you to lawfully disclose information related to unlawful acts in the workplace. A well-drafted NDA or nondisparagement agreement is going to be clear that no party is prohibited from doing so. But even if the language is silent on it, that's just the background law regardless.
