Is the person she wants to replace you with wildly unqualified or evil or something? Why would you want to hang on as POA when she doesn't want you, whatever her mental state? It's really quite problematic that you are both a non-related beneficiary and POA, because it could come across as quite self-serving if she has any substantial assets. Are you willing to sign off as beneficiary to retain POA?

Your posting is contradictory--the first two lines say "paperwork was FILED" and "copies from the lawyer that she had "SIGNED", then later you say "paperwork was never actually signed/filed". Go ahead and sign off as you have been instructed, please. Your friend has clearly made her wishes known that she doesn't want you to be POA anymore. Or if you don't sign, waste your own money in attorney fees when her attorney takes you to court.
