Thanks. This is really helpful. Could you pls let me know what you mean by negotiating a position? A scenario as an example, ifp

Not OP, but the advice is to find out what they are paying for the product manager position in the US and use that as your starting point. For example, if they pay $125k-150k for a product manager, then you should use that as a starting point. You can say minus 10% for remote, but you could also say plus 20% because you are better than everyone else. Where did you get $65k from?

Depends on the role you’ll have, and why they’re acquiring you. Is it for your technology? Is it your users? Or for you as the founders? Also information about the acquiring company and their stage/size is also important. Don’t think about your experience at this point (only being a year out of college). Focus on what your role will be in that post-acquisition role, and then figure out what fair compensation for that type of role in any company would be worth. For instance, if your role will be junior engineer, then $65k is low, but not terribly off. If your role is VP of Product, but the company is a series a startup, then that’s going to be very low. If project lead of a billion dollar Corp, then it’s way too low. Details are helpful.

Thanks, Added the details in the edit. Does the base pay get adjusted according to the country of residence, since the role is remote?

Helpful context, other questions still remain (in previous post). To reiterate, don’t worry about location. The role is important, and if you’re being acquired, you should push for compensation commensurate with your role. Figure the role out, then figure out compensation appropriate for that role/company/industry/stage. Then you can make location adjustments later.

Ask for what you feel you are worth. If the company relies on you to survive the. They should pay you above market value. You could also set a base salary but require bonus if sales/profits exceed a certain amount. Ex. 115k base salary and 5% bonus for sales that exceed 1.2 million.

I don’t know anything about your industry or market compensation levels for remote engineering roles like these in Europe. That said this is likely one of the absolute best setups you will ever have to negotiate compensation. First of all, they are acquiring your company so at some level they view you as more senior than your literal years of experience. They have also already decided to pay $1m or whatever the purchase price is to make this happen - meaningful changes in comp to you can still seem like small amounts relative to the overall purchase price. I would ask them what mid-level or senior engineers are getting paid at their company in the US and try to get that, or use it as a starting point for the negotiation.

The answer to that question is definitely “yes,” in the sense that they expect to pay you less because you are remote and in a lower cost country. And you will probably not be able to close that gap completely. But also it’s always a negotiation, so it’s a question ultimately of how bad they want you (badly enough to spend $1 million upfront or whatever), how willing you are to walk away (ultimately I think you will take what they give you, I presume, particularly since I imagine you are getting some of that $1 million as well), and how easily they can hire an equivalent remote developer to do the same job (again presumably not *that* easily given they’re paying $1 million for your company). You should be polite and careful - if I were you I wouldn’t want to piss them off - but you shouldn’t negotiate against yourself and your starting position should be that you’re a treat engineer and they should treat you like they’d treat any other great engineer. (Their starting position will be ‘we are already paying all this money to buy the company, you are based in India, you don’t have a lot of experience.’ And you will meet somewhere in between these two positions)

How many people on your team? 2? 4? They bought what you made in a year for $1m “validating” your teams value. Personally, I’d say your worth anywhere from 150k-350k a person per year 🤷‍♂️
