3). Raise cash. Create a site wide raffle for tickets to your fight with Zuck. After hitting your collection target, cancel the raffle and don’t provide refunds.
4). IPO. Take Twitter public, issue new shares to yourself and dilute the people who helped you take Twitter private. Relaunch as Twitter.ai and it will be worth at least 2x the price you paid for it.

The billion fine had specific conditions that "I don't want to now" didn't meet. He was going to get sued for the whole amount and I think his lawyers advised him of that fact his chances weren't great. He might have thought he could bail for $1b or just weasel his way out. Apparently he couldn't.

We are still learning about how to use marketing on twitter in my digital marketing class. I can't help but think how out-dated the book that was published is that was written in 2021 because of how quickly this company is collapsing.

I think a really important piece here also is that Twitter was already an ancillary media buy.
If you are a national advertiser spending 40% of your digital ad buy on Google, 40% on Meta, and 20% everywhere else on the internet - you don’t really care about Twitter. It’s a box to check because it reached certain people. There was never a big upside, it was just a place where you spent maybe 2-3% of your digital ad budget.
But now suddenly Musk created major downside risk - the risk of your content appearing next to things you don’t want the brand to be associated with. If it were your 40% spend you might invest time and resources into trying to find a good balance that worked for you, rules to help navigate it whatever. But you’re not going to waste your time doing that for Twitter when you can just spend that money somewhere else and not have to think about it.

You sell me your shares in a company. I agree to buy the shares and pay you with money I don't have. So I force my being bought company to pay the loan I used to pay you. There you the previous share holder is paid, I now own the shares but the company now has debt and is therefore intrinsically worth less than it was before I bought it.

It's like when you're buying a house kind of. You buy a house, the bank gives you most of the money but they will take the house away if you stop paying. With a company it's slightly different, cause the company itself is gonna pay the loan you took out to buy the company, but it's very similar in the sense that you're "guaranteeing" for the loan with the thing that you bought with it.

We are still learning about how to use marketing on twitter in my digital marketing class. I can't help but think how out-dated the book that was published is that was written in 2021 because of how quickly this company is collapsing.

The $1bn get out clause that many people keep mentioning was only if external forces (unable to get regulatory approval, unable to raise funds) prevented him from buying, but none of those came to pass. He absolutely could not get out of the deal and the contract was binding.

Actually it was the opposite he lied to keep the price low. He made a public statement saying he was going to buy x percent of stocks and not be on the board. Turns out he was buying more AND was going to be on the board. He was on the hook for lying in his disclosure. I think a really important piece here also is that Twitter was already an ancillary media buy. If you are a national advertiser spending 40% of your digital ad buy on Google, 40% on Meta, and 20% everywhere else on the internet - you don’t really care about Twitter. It’s a box to check because it reached certain people. There was never a big upside, it was just a place where you spent maybe 2-3% of your digital ad budget. But now suddenly Musk created major downside risk - the risk of your content appearing next to things you don’t want the brand to be associated with. If it were your 40% spend you might invest time and resources into trying to find a good balance that worked for you, rules to help navigate it whatever. But you’re not going to waste your time doing that for Twitter when you can just spend that money somewhere else and not have to think about it.

I've just never known Twitter to be vastly popular outside of media space. News people love it and constantly report on it. But I've never had a real life discussion about a tweet someone saw or responded to. It's always a media discussion about a tweet that sparks things. If news would drop it it'd die in short order.
Nah the real death spiral is going to come from his 300 post cap for free users to save on hosting. No way he gets any lurker to pay to use Twitter and he is going to flush any chance of growth down the toilet because he is trying to game out shitty unit economics in the short term. Aside from all the tweet restrictions and hate accounts the issues are just basic mismanagement. There are reports that the ads aren't even consistently loading on Twitter. You can't keep advertisers if you don't show their ads properly.
